mplayer ought to work.  I've been using it (running on the MythTV box) to
transcode movies and TV shows to H.264.  You'll need to transcode audio and
video separately, then use something like mp4box to mux them into the correct
format.  The only trick that should remain would be to figure out what options
would produce an optimal, compatible encoding.
